Governing Law Clause

A contract clause by which the parties agree that their contract should be interpreted in accordance with the law of a designated jurisdiction. A court may decide not to follow the choice made by the parties, because the parties cannot deprive a court of jurisdiction, but courts will often agree to apply the law that the parties have specified.
